TA Europe has recently conducted another pan-European portfolio technical due diligence for one of our international clients.
The portfolio included seven office buildings in four different European locations – Germany, Holland, Austria and Finland comprising the high rise Florido Tower in Vienna and the remarkable Las Palmas Building in Rotterdam.
Sebastian Frohwann, Partner at TA Europe, was the Technical Transaction Manager, who was also the single point of contact for our client, teams, as well as other parties involved.
Supported by our large European network of sub-consultants and associated offices, our Technical Due Diligence teams were assembled very efficiently and quickly so that an immediate start of the Technical Due Diligence Process could be guaranteed, and the deadlines defined in the term sheets were met. Sebastian worked very closely with all teams from the start and supported the deal negotiations.
TA Europe’s approach for portfolio due diligences can be divided into three steps:
The first phase comprises a comprehensive review of the entire portfolio based on our onsite investigations and the data room review, which allows us to prepare comprehensive CAPEX summary sheets of all properties to check the plausibility of all information received. This enables the client and us to identify potential inconsistencies in the portfolio but also highlight potential issues which should be followed up in the second step.
Secondly, after the parties had decided to proceed in the deal, TA Europe focused on specific technical issues which needed further attention to reach utmost clarity for the client. These results and all further information gathered in the meantime led to an updated and final CAPEX which was beneficial for both deal parties. The risks and the associated costs could be specified and reduced to real case scenarios.
Finally, when financial agreement had been achieved between the deal parties, TA Europe prepared Full Technical Due Diligence Reports for all seven assets. Following deal closing, TA Europe is now supporting the Asset Management to implement identified CAPEX measures.
